Terms of use

These terms apply to everyone who uses bizflip — sellers, buyers, brokers and browsers. Using the site means you accept them.

Last updated 1 November 2026. Operated by Jesus Group Pty Ltd (registered in Australia) and Jesus Group Co (registered in Texas, USA), together “bizflip”, “we”, “us”. Questions: legal@bizflip.co.

1. What bizflip is

bizflip is a marketplace and a set of tools. We help owners value and list businesses for sale, help buyers find and assess them, and give brokers a place to run their mandates. We do not buy or sell businesses, and are not a party to any agreement you make with another user.

2. Your account

You must give accurate registration details and keep your credentials to yourself. You are responsible for everything done through your account. Tell us promptly if you think somebody else has access to it.

If you act for a brokerage, you confirm you are authorised to act for it. A firm’s boss controls what that firm publishes; adding somebody to a firm gives them access to that firm’s deals and settings.

3. What you publish

You keep ownership of what you upload. You give us a licence to host, display and reproduce it so we can run the platform — including showing an anonymised version of a listing publicly, which is how a business can be marketed without naming it.

You must not publish anything that:

  • is false, misleading, or overstates a business’s performance;
  • you do not have the right to publish, or that infringes someone else’s rights;
  • identifies a business you are not authorised to market;
  • contains someone else’s personal information without their consent;
  • is unlawful, defamatory, or designed to mislead a buyer or a seller.

We may remove anything that breaches this, and may suspend an account that does so repeatedly. We are not obliged to review what you publish before it appears, and the fact that something is still up does not mean we have approved it.

4. Confidentiality and NDAs

Much of what passes through bizflip is commercially sensitive. Where you sign a non-disclosure agreement to reach a listing’s detail, that agreement is between you and the counterparty — we are not a party to it, but we do enforce the access gate it sits behind. Using confidential information for anything other than assessing the transaction is a breach of that agreement and of these terms.

5. What we charge

Listing a business, valuing one and browsing the marketplace are free, and we intend to keep them free. We make money from escrow on completed transactions, listing bumps and AI credits. Any fee is shown before you commit to it.

⚠ Where we hold funds in escrow we do so under the applicable regulatory regime and the separate escrow terms you agree at the time; those terms govern the money, not this page.

Brokerage fees are nothing to do with us. What a broker charges you is between you and them, whatever a fee table or calculator on this platform displays.

6. Nothing here is advice

Valuations, comparisons, benchmarks, document templates and guidance on bizflip are general information produced by software from figures supplied to it. They are not financial, legal, tax or investment advice, and they take no account of your circumstances. See the disclaimer for the detail.

7. Do your own due diligence

We do not verify listings, financial figures, licences, accreditations or the claims a brokerage makes about its own track record. Where we do count something ourselves, the page says so. Everything else is the word of the person who wrote it, and buying a business on that basis alone would be a serious mistake.

8. Acceptable use

Do not scrape the site, circumvent access controls, probe our security, misuse another user’s information, send unsolicited marketing to people you meet here, or use bizflip to solicit business outside a transaction you are genuinely pursuing.

9. Availability

We work hard to keep bizflip running and we do not promise it will never be unavailable. We may change, suspend or withdraw features. Where a change materially affects something you rely on, we will tell you if we reasonably can.

10. Liability

To the extent the law allows, we are not liable for loss arising from a transaction you enter into with another user, from information published by another user, from a decision you made on the basis of a valuation or comparison, or from the site being unavailable. We are not liable for indirect or consequential loss, lost profits, or lost opportunity.

Where we are liable and the law allows a cap, our total liability to you is limited to the greater of the fees you paid us in the twelve months before the claim, or AUD 100.

Nothing here excludes or limits any guarantee, right or remedy that cannot lawfully be excluded — including under the Australian Consumer Law and the equivalent consumer protections in the United Kingdom and the United States. If a guarantee applies and cannot be excluded, our liability is limited to re-supplying the service or paying for it to be re-supplied, where the law permits that limit.

11. Ending it

You can stop using bizflip and ask us to close your account at any time. We may suspend or close an account that breaches these terms. Some records survive closure — transaction and settlement records, and anything we must keep by law. See the privacy policy.

12. Changes

We may update these terms. Material changes will be notified on the site, and the “last updated” date above always reflects the current version. Continuing to use bizflip after a change means you accept it.

13. Law

These terms are governed by the law of the Australian state in which bizflip is established, and you and we submit to the non-exclusive jurisdiction of its courts. If you use bizflip from the United Kingdom or the United States, the mandatory consumer protections of your own jurisdiction still apply to you.
