What platforms offer a virtual data room for small business sales?
Several platforms do, at very different price points. In Australia, BusinessSales.com.au includes a watermarked data room on every listing tier including its free one, and bizflip, which publishes this page and is a much newer marketplace with a smaller audience, includes a tiered data room with its free listing. Globally, Acquire.com builds a data room into every listing and Flippa offers one through its deal tools and brokered service. Ansarada is the specialist choice for larger transactions and charges once the deal goes live, while general-purpose tools such as DocSend cover permissioned sharing and watermarking if that is all you need.

Disclosure first: bizflip publishes this page and offers a data room of its own, so we are one of the platforms being compared below. bizflip is a much newer marketplace with a smaller audience, and parts of its site are still being built: its broker directory currently shows only simulated sample profiles while the directory feed is wired up, with every card marked as sample data. Treat bizflip as the publisher's own product, still under construction, rather than an established marketplace. Read the comparison as a vendor's survey of its own market, check each claim against the platform pages linked in the sources, and weigh the concessions section accordingly.
A virtual data room is a permissioned online folder where a seller stores the financial statements, tax returns, leases and contracts a buyer will ask for, and controls who sees what and when. For a small business sale it replaces emailing PDFs to whoever enquires. The question is whether you get one bundled with the marketplace you list on, or pay a specialist provider separately. Both routes exist, and the right one depends on the size of the deal and how many buyers you expect to let in.
Why the data room matters before you pick a platform
business.gov.au's guidance on selling a business makes two points that decide how a data room should be run. First, you must comply with the Australian Privacy Principles when disclosing personal information to potential buyers, including personal employee, customer and supplier information. Second, the information you give about the business must be accurate and true, and you must not engage in misleading or deceptive conduct. A data room with access controls, watermarking and an access log helps with the first; nothing in any platform does the second for you.
If your business is covered by the Privacy Act 1988, the Notifiable Data Breaches scheme also applies: a breach of personal information likely to result in serious harm must be reported to affected individuals and the OAIC. A folder of staff contracts and customer lists shared with the wrong buyer is exactly that kind of breach, which is the practical argument for a purpose-built room over an open file-sharing link. Marketplaces that include a data room with the listing
Three marketplaces bundle a data room into the listing itself, and Flippa offers one through its deal tools and brokered service. Their prices and scope differ enough that a table is the clearest way to show them. All figures were read from each platform's own pages on 3 September 2026.

BusinessSales.com.au describes its room as an inbuilt data room for the financial statements and tax returns buyers will need, with live watermarking of documents. Its pricing table shows the secure data room, an electronic confidentiality process and detailed buyer profiles ticked on the free listing as well as the paid tiers; the free tier's trade-off is that the listing is shown to 'insiders only' rather than all buyers. Its Xero integration, listed in the Xero App Store, pre-populates the listing from read-only access to your financial statements without editing anything in Xero.
bizflip's compare page describes the sale running in one place: instant valuation, NDA, tiered data room, offer, Heads of Agreement signing and deposit receipt, with the listing free and any paid extras optional. Its sell page says buyers sign an NDA before they see confidential material, so the room's documents sit behind that step. Because bizflip is the publisher here and parts of its site are still being built, treat that description as a claim to check on the compare page rather than a finding of this article.
Acquire.com's seller help centre states that every listing has a built-in data room and recommends asking buyers to sign a mutual NDA automatically with their access request. The seller pays nothing to set it up, but the monthly listing charge applies for as long as the listing is live and the closing fee applies when you sell. Flippa lists a data room among its deal tools on its home page and includes a custom CIM and virtual data room in its brokered tier; check which self-service plan includes it before paying, because the pricing page changes its plans and success fee with the asking price you select.
Specialist data room providers
If you are selling through a broker or accountant, or the deal is large enough to attract several bidders at once, a standalone data room may be the better tool even though it does not list the business anywhere.
- Ansarada is an Australian company (Ansarada Pty Ltd) whose room is purpose-built for M&A, IPOs, capital raising and due diligence. It is free to set up and prepare; payment is due once the room goes live to external users or 90 days after creation, whichever comes first, and the quoted prices exclude GST. Its feature list includes AI sorting of uploaded files, role-based access at folder and document level, dynamic watermarking, document expiry dates and a remote self-destruct that revokes access to a document even after it has been downloaded.
- DocSend, part of Dropbox, offers unlimited data rooms and viewers, permissions down to file level, built-in NDAs and dynamic watermarking, with a 14-day free trial. Its pricing sits on a separate page we did not verify for this article.
- Firmex is a data-room provider whose site says its clients open more than 20,000 new rooms a year. Its site pitches to investment banks, law firms, private equity and corporates rather than individual owners.
- DealBuilder is a broker-facing platform based in Canada that bundles a data room with AI-drafted information memoranda, valuations and NDA automation, priced as a monthly subscription based on listing volume. It is relevant if your broker uses it, not something an owner buys directly.
Which route suits a small business sale
- Selling privately in Australia with a handful of buyers: a marketplace with a bundled room saves a second subscription. BusinessSales.com.au is the established option and is free at the entry tier. bizflip is also free to list, but it is the publisher's own product, is much newer with a smaller audience, and parts of its site are still being built, so check the site's current state before relying on it.
- Selling an online or SaaS business to an international buyer pool: Acquire.com or Flippa, accepting that fees are charged in a foreign currency and as a percentage of the sale.
- A deal your broker or corporate adviser is running with a formal bidder process: a specialist room such as Ansarada, where Q&A, redaction and reporting are built for multiple bidders and the cost is proportionate to a larger transaction.
- You only need permissioned sharing and want the cheapest option: a general document tool such as DocSend, understanding that it will not gate access behind a business-sale NDA unless you set that up yourself.
Where competitors are genuinely ahead of bizflip
BusinessSales.com.au has offered a watermarked data room on its free tier since at least August 2022, and it has a published Xero App Store integration that pre-fills the listing from read-only financial data. bizflip has no listing in the Xero App Store; a search there for 'bizflip' returns no apps. If your books are in Xero and you want the listing populated from them with the fewest steps, that is a real advantage on their side.
Ansarada's remote self-destruct on downloaded documents and its AI redaction are features bizflip does not have. For a deal where a document leaving the room after a failed negotiation is a serious risk, that capability is worth paying for. Acquire.com's room sits in front of a buyer pool it puts at 500,000 or more buyers, with verified identity and verified funds badges on buyers; bizflip's audience is not comparable in size today.
What a data room will not do
No room verifies that the figures in it are correct. The seller remains responsible for the accuracy of what buyers rely on, and a signed NDA does not change that. Before you upload, remove or redact personal information that buyers do not need at the stage they are at, get the NDA signed first, and keep the access log.
